Bounty_OS Client Master Service Agreement

This Client Master Service Agreement ("Agreement") is entered into by and between Bounty_OS ("Platform", "we", "us") and the entity or individual accessing the Platform to initiate marketing campaigns ("Client", "Advertiser", "you").

BY CREATING AN ADVERTISER ACCOUNT, FUNDING A CAMPAIGN, OR CLICKING "I AGREE," YOU AGREE TO BE BOUND BY THESE TERMS.

1. The Services

1.1 Platform Access

Bounty_OS provides a marketplace platform connecting Clients with independent third-party content creators ("Creators") for the production and distribution of promotional content ("Creator Content").

1.2 Campaign Creation

Client may launch campaigns ("Campaigns") specifying the scope, deliverables, budget, and "Bounty" (payment per metric or flat fee).

1.3 Arbitrage & Metrics

Bounty_OS acts as the system of record for performance metrics (views, clicks, conversions). Bounty_OS's analytics and reporting data shall be the final and binding authority for calculating Payouts.

2. Fees and Payment

2.1 Standard Payment Terms (Pre-Payment)

Unless otherwise explicitly agreed to in writing by Bounty_OS (e.g., in a separate Insertion Order or Credit Agreement), all Campaigns must be pre-funded. Client must deposit funds equal to the total Campaign Budget into their Bounty_OS account before the Campaign can be activated or distributed to Creators.

2.1a Payment Methods & Processing

Payments are processed through Stripe and can be made via:

  • Bank Transfer (ACH): No processing fees (Recommended)
  • Credit/Debit Card: Subject to standard Stripe processing fees (approximately 2.9% + $0.30 per transaction)

Campaign budgets are submitted through Stripe payment links generated at the time of campaign submission. Total amount charged includes the campaign budget plus applicable payment processing fees.

2.2 Exceptions (Credit Terms)

If, and only if, Bounty_OS approves Client for a credit line in writing, Bounty_OS may invoice Client for Campaign spend. In such cases, payment is due thirty (30) days from the invoice date (Net 30). Bounty_OS reserves the right to revoke credit terms at any time and require pre-payment.

2.3 Drawdown of Funds

As Creators achieve the performance metrics or deliverables defined in the Campaign, Bounty_OS will deduct the applicable fees (the Bounty + Bounty_OS transaction fees) from the Client's pre-funded balance in real-time.

2.4 Unused Budget & Automatic Refunds

If a pre-funded Campaign concludes without exhausting the Budget, any remaining balance will be automatically refunded back to the original payment method used to fund the Campaign within 5-10 business days after campaign completion, provided there are no pending Creator payouts.

Refund Process: Refunds are processed automatically through Stripe to the same payment method used for the original transaction. ACH refunds may take 5-10 business days, while card refunds typically process within 5-10 business days. Client will receive email confirmation when refunds are initiated.

2.5 Non-Refundable Performance

Once Creator Content is published and performance metrics are tracked by Bounty_OS, the associated fees are non-refundable.

3. Intellectual Property Rights

3.1 Client Assets

Client grants Bounty_OS and participating Creators a non-exclusive, royalty-free, worldwide license to use Client's name, logo, trademarks, and provided media assets ("Client Materials") solely for the purpose of the Campaign.

3.2 Creator Content

Ownership

Unless otherwise specified in a custom Campaign agreement (e.g., "Work for Hire"), Creators retain ownership of their Original Content, granting Client a license to use the content for social media marketing.

Usage Rights

Client obtains a perpetual, non-exclusive license to repost, share, and boost Creator Content on social media platforms, subject to the terms of the specific Campaign.

3.3 Warranties

Client represents and warrants that it owns all rights to the Client Materials and that their use by Bounty_OS and Creators will not infringe on the rights of any third party.

4. Creator Relationship

4.1 Independent Contractors

Client acknowledges that Creators are independent contractors of Bounty_OS or freelancers, not employees of Client or Bounty_OS.

4.2 No Direct Contact (Non-Circumvention)

Client agrees not to circumvent the Platform by soliciting, contracting, or paying Creators found through Bounty_OS directly for a period of twelve (12) months following the end of the last Campaign. If Client breaches this clause, Client agrees to pay a "Placement Fee" equal to 20% of the Creator's estimated annual earnings.

5. Content Approval & Guidelines

5.1 Campaign Brief

Client is responsible for providing clear, accurate, and comprehensive instructions, guidelines, scripts, and brand safety requirements ("Campaign Brief") at the start of the Campaign.

5.2 Bounty_OS Authority

Client authorizes Bounty_OS (and its moderators/admins) to review, approve, or reject Creator Content on Client's behalf. Bounty_OS will evaluate submissions based on strict adherence to the Campaign Brief provided by Client.

5.3 Binding Approval

Client agrees that any content approved by Bounty_OS that objectively meets the requirements set forth in the Campaign Brief shall be deemed "Valid Content" and eligible for payment. Client waives the right to dispute payments for content that followed the Campaign Brief but was subjectively disliked by Client.

5.4 Rejection Rights

Bounty_OS reserves the right to reject any Creator Content that violates Platform policies, even if it meets Client's Brief.

6. Indemnification

6.1 By Client

Client agrees to indemnify, defend, and hold harmless Bounty_OS, its officers, directors, and employees from any claims, damages, liabilities, and expenses (including legal fees) arising out of:

  • (i) Client's products or services (e.g., product liability, false advertising claims);
  • (ii) Client Materials (e.g., Client provided a song they didn't have rights to);
  • (iii) Client's breach of this Agreement.

6.2 By Bounty_OS

Bounty_OS agrees to indemnify Client against claims that the Platform software itself infringes on a third party's intellectual property rights.

7. Disclaimers & Limitation of Liability

7.1 Performance

Bounty_OS does not guarantee specific results (e.g., sales, virality) beyond the accurate tracking of the "Bounty" metrics.

7.2 Fraud

While Bounty_OS employs anti-fraud measures (bot detection), Client acknowledges that social media platforms are subject to some level of invalid traffic. Bounty_OS will proactively remove detected bot traffic from billing, but is not liable for undetected fraudulent activity beyond the cost of the specific bounty.

7.3 Cap on Liability

IN NO EVENT SHALL BOUNTY_OS'S LIABILITY EXCEED THE TOTAL AMOUNT PAID BY CLIENT TO BOUNTY_OS IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

8. Term and Termination

8.1 Term

This Agreement remains in effect as long as Client uses the Platform.

8.2 Termination

Either party may terminate this Agreement with written notice. Upon termination, Client remains responsible for paying all accrued fees for Campaigns that ran prior to termination.

9. General Provisions

9.1 Governing Law

This Agreement is governed by the laws of the State of Georgia.

9.2 Arbitration

Any disputes shall be resolved by binding arbitration administered by the AAA.

9.3 Entire Agreement

This Agreement constitutes the entire agreement between the parties superseding all prior agreements.
